The registrant has experienced unexpected delays in the filing of its Quarterly Report on Form 10-Q for the six months ended June 30, 2022 (the “Form 10-Q”) within the prescribed time period due to delays experienced in completing the Company’s financial statements, which delayed the principal independent auditors review of the financial statements for six months ended June 30, 2022, and consequently the filing of the Form 10-Q. The delay could not be eliminated without unreasonable effort or expense. We anticipate that we will file our complete quarterly report on Form 10-Q for the six months ended June 30, 2022 on or before the fifth day following the prescribed due date.
