Item 2.02.    Results of Operations and Financial Condition

On July 31, 2008, GFI Group Inc. issued a press release announcing that an earlier press release issued on July 31, 2008 and furnished on a Form 8-K under this Item 2.02 incorrectly identified the record date and the payment date for the Company’s second quarter cash dividend of $.05 per share.  The correct record date is Friday, August 15, 2008 and the correct payment date is Friday, August 29, 2008.

A copy of the press release is attached hereto as Exhibit 99.1.

New York,  July 31, 2008 – GFI Group Inc.
