Item 1.01. Entry into a Material Definitive Agreement.
On July 30, 2024, Commercial Vehicle Group, Inc. (the “Company”) and certain of its subsidiaries, as guarantors, entered into an Amendment No. 3 (the “Amendment”), which amends the Credit Agreement (as amended, restated, supplemented or otherwise modified and in effect, the “Credit Agreement”), dated as of April 30, 2021, with Bank of America, N.A. as agent, and the lenders party thereto.

The Amendment amends the terms of the existing Credit Agreement to limit the mandatory prepayment requirements for certain specified asset dispositions of the Company and certain of its subsidiaries.
