Item 1.01 Entry into a Material Definitive Agreement.

The Board of Directors of USA Mobility, Inc. (the "Company") approved by unanimous consent on April 13, 2007, a Severance Pay Plan ("the Plan") for certain covered executive officers of the Company. The Plan provides severance payments, on a discretionary basis, to certain Employees who are terminated involuntarily other than fault of their own as specified in the Plan. The Plan constitutes a formal Employee Welfare Benefit Plan under the Employee Retirement Income Security Act of 1974, as amended ("ERISA"). The USA Mobility, Inc. Severance Pay Plan and Summary Plan Description is attached hereto as Exhibit 99.1, and is incorporated herein by reference.
