Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On June 20, 2019, Scott Colosi, President of Texas Roadhouse, Inc. (the Company), announced that he will no longer serve as President effective immediately. Mr. Colosi had been employed by the Company since 2002. Effective June 24, 2019, the Companys Board of Directors appointed Kent Taylor to assume the role of President in addition to his roles of Chief Executive Officer and Chairman of the Company. Disclosure regarding Mr. Taylors ownership in certain licensed or franchised restaurants and biographical information for Mr. Taylor are included in our Annual Report on Form 10-K.
In connection with Mr. Colosis departure from the Company, the Company expects to enter into a separate consulting agreement with Mr. Colosi. The terms of such agreement are currently being finalized and will be included in a subsequent Current Report on Form 8-K.
