On February 18, 2010, Otelco Inc. (the “Company”) filed a Current Report on Form 8-K with the Securities and Exchange Commission (the “Original Form 8-K”).  This Current Report on Form 8-K/A supplements and amends Item 4.02 of the Original Form 8-K in order to provide the disclosure required by Item 4.02(a)(3) of Form 8-K, but does not restate the Original Form 8-K in its entirety.  All information in the Original Form 8-K remains unchanged.
