Item 3.01
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On May 28, 2008, pursuant to authorization by its Board of Directors, China Architectural Engineering, Inc. (the “Company”) notified the American Stock Exchange ("AMEX") that it intends to voluntarily withdraw the listing of its common stock on the AMEX in order to transfer its listing to The NASDAQ Stock Market LLC (“NASDAQ”). The Company anticipates that its common stock will commence trading on the NASDAQ on or about June 10, 2008 under the symbol "CAEI."

On May 28, 2008, the Company issued a press release announcing that its Board of Directors has approved the decision to move the listing of its common stock from the AMEX to the NASDAQ.
