(b)           On July 14, 2011, Nav Rahemtulla, a Principal in the Private Equity Group of Ares Management, resigned from the Board of Directors of Douglas Dynamics, Inc. (the “Company”) and each of its subsidiaries, including all committees thereof.  Mr. Rahemtulla’s decision was not the result of any disagreement with the Company. The Company wishes to thank Mr. Rahemtulla for his strategic counsel over the past four years.
