Item 1.02 Termination of a Material Definitive Agreement.

On November 9, 2015, AS Investors LLC ("AS Investors"), a stockholder of Xerium Technologies, Inc. (the "Company"), terminated that certain Director Nomination Agreement (the "Agreement") between the Company and AS Investors, dated May 25, 2010, pursuant to which AS Investors had a right to nominate a person for election to the Company's Board of Directors, subject to certain conditions.
