ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On December 14, 2006, the Board of Directors of Ply Gem Holdings, Inc. (the “Corporation”) approved the addition of Mr. Timothy T. Hall as a member of the Board of Directors for the Corporation and as a member of the audit committee. Mr. Hall is a Principal at Caxton-Iseman Capital, Inc. where as a member of the investment team, he initiates, evaluates, and structures transactions, coordinates and conducts due diligence, and participates in the oversight of Caxton-Iseman portfolio companies, including the Corporation. For information on related party transactions between the Corporation and Caxton-Iseman Capital, Inc. and its affiliates, please refer to our Annual Report on Form 10-K. Mr. Hall was previously a Vice President at FrontLine Capital, and an Assistant Vice President at GE Equity.
