ITEM 2.05 COSTS ASSOCIATED WITH EXIT OR DISPOSAL ACTIVITIES

On April 24, 2006, Ply Gem Industries, Inc. announced that it will close its Sarver, Pennsylvania facility within 60 days. Management expects that the plant closure will reduce costs and increase operating efficiency by increasing capacity utilization, as most of the production will be absorbed by other locations. The closure costs will not be known until the Company has finalized the details of its closure plan.
