Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On December 16, 2005 director Dennis Pence resigned from the Board of Directors of Intermountain Community Bancorp and its subsidiary, Panhandle State Bank. Mr. Pence, who served on the respective boards since 2002, is leaving to provide more time for his other business endeavors.
