Visual Management Systems, Inc. is finalizing the accounting with respect to the period covered by the report.  As a result, the Form 10-QSB could not be filed on May 15, 2008, without unreasonable effort and expense.

Attachment A

The registrant acquired Visual Management Systems Holding, Inc. in a transaction accounted for as a reverse acquisition in July 2007.  Prior to the transaction, the registrant had no significant assets, liabilities or operations.  The registrant incurred a net loss of approximately $2.3 million for the three months ended March 31, 2008.
