8.01 Other Events

On September 2, China Carbon Graphite Group, Inc. (the “Company”) issued a press release announcing the resignation of Ms. Ting Chen as Chief Financial Officer and member of the Board of Directors and the appointment of Mr. Zhenfang Yang as the interim Chief Financial Officer.   Further information regarding the resignation and appointment were previously announced in the Company’s 8-K filed on September 1, 2010.  A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
