Item 7.01.

Regulation FD Disclosure.

On December 17, 2018, T-Mobile US, Inc. (“T-Mobile”) issued, jointly with Sprint Corporation (“Sprint”), a press release announcing that they have successfully received approval from the Committee on Foreign Investment in the United States (“CFIUS”), pursuant to a review under section 721 of the Defense Production Act of 1950, as amended, to proceed with their proposed merger (the “Merger”) pursuant to that certain Business Combination Agreement, dated April 29, 2018 (the “Business Combination Agreement”), by and among T-Mobile, Sprint, SoftBank Group Corp., Deutsche Telekom AG and the other parties thereto.

The closing of the proposed Merger remains subject to other conditions under the Business Combination Agreement, including the receipt of required regulatory approvals.

A copy of the press release announcing the CFIUS approval is attached hereto as Exhibit 99.1.
