Item 8.01          Other Events.
 
On May 22, 2023, Greenhill & Co., Inc. (the “Company”) and Mizuho Financial Group, Inc. issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of May 22, 2023, by and among the Company, Mizuho Americas LLC, a Delaware limited liability company (“Purchaser”) and Blanc Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Purchaser (“Merger Sub”), pursuant to which, upon the terms and subject to the conditions set forth therein, Merger Sub will merge with and into the Company, with the Company continuing as a wholly-owned subsidiary of Purchaser. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
