Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 3, 2023, Patrick D. Hanley notified the Board of Directors (the “Board”) of NewMarket Corporation (the “Company”) that he will retire from the Board effective immediately. Mr. Hanley’s retirement is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company is grateful to Mr. Hanley for his many years of distinguished service to the Board.

Other Events.

On August 3, 2023, the Company issued a press release reporting that the Board had declared a dividend of $2.25 per share of the Company’s common stock, payable on October 2, 2023, to the Company’s shareholders of record as of September 15, 2023. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
