On May 13, 2013, Regions Financial Corporation (“Regions”) announced that it will purchase approximately $350 million of its issued and outstanding 7.75% Senior Notes due 2014 tendered prior to the early tender date and accepted by Regions in connection with Regions’ tender offer announced on April 25, 2013. Regions Announces Early Tender Offer Results and

Early Settlement of Tender Offer

BIRMINGHAM, Ala. – (BUSINESS WIRE) – May 13, 2013 – Regions Financial Corporation (NYSE:RF) announced today that, as of 5:00 p.m., New York City time, on May 10, 2013 (the “Early Tender Date”), it had received tenders for an aggregate principal amount of approximately $488,035,000 of its outstanding 7.75% Senior Notes due 2014 (the “2014 Notes”) and an aggregate principal amount of approximately $277,487,000 of its outstanding 5.75% Senior Notes due 2015 (the “2015 Notes” and, together with the 2014 Notes, the “Notes”) in the cash tender offer announced by Regions on April 25, 2013. The tender offer, in which Regions is offering to purchase up to $350 million combined aggregate principal amount (the “Maximum Tender Amount”) of the Notes, consisting of no more than $150 million of 2015 Notes and with validly tendered 2014 Notes being accepted for purchase prior to any validly tendered 2015 Notes, is being made pursuant to the Offer to Purchase dated April 25, 2013 and the related Letter of Transmittal sent to holders of the Notes.

Because the aggregate principal amount of 2014 Notes validly tendered and not validly withdrawn as of the Early Tender Date exceeded the Maximum Tender Amount, approximately 71.8 percent of 2014 Notes validly tendered as of the Early Tender Date will be accepted for payment in accordance with the proration procedures described in the Offer to Purchase, and no 2015 Notes will be accepted.

Regions has also elected to cause an early settlement of Notes accepted for purchase in the tender offer on May 13, 2013. The purchase of the Notes will be funded by cash on hand, including proceeds from Regions recent offering of 2.0% Senior Notes due 2018. Because the Maximum Tender Amount has been achieved, Regions will accept no further tenders.

Goldman, Sachs & Co. and Morgan Stanley & Co. LLC served as dealer managers for the tender offer.

The tender offer is being made only by, and pursuant to the terms of, the Offer to Purchase and the Letter of Transmittal.
