Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On December 18, 2009, Marco W. Hellman notified Blackbaud, Inc. that he is resigning as a member of the Company’s Board of Directors effective December 31, 2009. His resignation was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, but rather was due to Mr. Hellman’s increasing responsibilities as the managing director of HMI Capital, LLC.
