Introductory Statement

This Amendment No. 2 amends the Tender Offer Statement on Schedule TO (“Schedule TO”) filed with the Securities and Exchange Commission on June 20, 2005 by Evergreen Utilities and High Income Fund, a statutory trust organized under the laws of the state of Delaware (the “Fund”). The Schedule TO relates to an offer by the Fund to purchase for cash (the “Offer”) up to 5% or 519,163 of the Fund’s issued and outstanding common shares, no par value (the “Shares”). This Amendment No. 2 amends such Schedule TO to add an additional exhibit in accordance with Rule 13e-4(c)(1) promulgated under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and to add the following information in accordance with Rule 13e-4(c)(4) of the Exchange Act and General Instruction H of Schedule TO.

The Offer expired at 5:00 p.m. EST on July 22, 2005. Pursuant to the Offer, 4,412,485 Shares were properly tendered and not withdrawn, and 519,163 of the tendered Shares were accepted by the Fund on July 26, 2005 for purchase at the price of $24.71 per share, which is equal to the net asset value per share determined as of the close of the regular trading session of the New York Stock Exchange on July 25, 2005. Payment of the Shares purchased will be made on July 27, 2005. The aggregate purchase price paid by the Fund for the Shares purchased pursuant to the Offer was $12,828,517.73.
