On May 28, 2024, Midcap Financial Investment Corporation (the “Company”) held its Special Meeting of Stockholders (the “Special Meeting”). At the Special Meeting, the Company’s stockholders approved one proposal as set forth below. The proposal is described in detail in the Company’s definitive proxy statement for the Special Meeting as filed with the Securities and Exchange Commission on April 4, 2024.
Proposal 1: The Company’s stockholders approved the issuance of shares of common stock, par value $0.001 per share, of the Company in connection with the proposed mergers of Apollo Senior Floating Rate Fund Inc. and Apollo Tactical Income Fund Inc. with and into the Company, in accordance with NASDAQ listing rule requirements, based on the following votes:
