Item 1.        Description of Registrant’s Securities to be Registered.

MVB Financial Corp., a West Virginia financial holding company (the “Company”), hereby incorporates by reference the description of its common stock, par value $1.00 per share (the “Common Stock”), to be registered hereunder as set forth under the heading “Description of Our Common Stock” in the Company’s prospectus supplement (the “Prospectus Supplement”) dated March 13, 2017 and filed by the Company with the Securities and Exchange Commission pursuant to Rule 424(b) promulgated under the Securities Act of 1933, as amended, relating to the Company’s Registration Statement on Form S-3 (File No. 333-208949), which registration statement became effective as of January 20, 2016. The Company’s Common Stock is expected to be listed on The NASDAQ Stock Market LLC.
