Item 5.07    Submission of Matters to a Vote by Security Holders

On May 16, 2024, the Company held its Annual Meeting; 15,388,286 shares were represented by proxies or voted at the Annual Meeting, or 88.68% of the total shares outstanding. At the Annual Meeting, shareholders elected all of the 11 director nominees named in the Company’s 2024 Proxy Statement for a one-year term until the 2025 Annual Meeting of Shareholders and to serve until his or her successor is elected and qualified; and ratified the appointment of Moss Adams LLP as the Company’s Independent Registered Public Accounting Firm for the fiscal year ending December 31, 2024.
