Item 5.07. Submission of Matters to a Vote of Security Holders.

(d) As reported on a Current Report on Form 8-K filed with the Securities and Exchange Commission on May 16, 2019, the stockholders of Noodles & Company (the “Company”) voted to approve, on an advisory (non-binding) basis, holding future advisory votes on named executive officer compensation on an annual basis as described in the proxy statement for the Company’s 2019 annual meeting of stockholders. The Company intends to hold an advisory vote on the compensation paid to the Company’s named executive officers in its proxy materials on an annual basis until the next required vote regarding the frequency of future advisory votes on named executive officer compensation.
