Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 22, 2016, Mr. Stuart Frenkiel, who joined the Board of Directors (the “Board”) of Noodles & Company (the “Company”) as a designee of Argentia Private Investments Inc., tendered his resignation as a Class II director of the Board and as a member of the Nominating and Governance Committee of the Board and the Compensation Committee of the Board. Mr. Frenkiel’s decision to resign was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
