Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 9, 2015, Noodles & Company (the "Company") announced that Dan Fogarty has resigned as the Company's Executive Vice President of Marketing for personal reasons. Mr. Fogarty's resignation will be effective March 13, 2015. Our agreement with Mr. Fogarty provides for him to be available on a consulting basis to assist the Company, as mutually agreed between Mr. Fogarty and the Company, with respect to transitional matters relating to his function, provides that the Company will transfer to Mr. Fogarty title to a company vehicle currently used by him and contains other customary terms. The Company has commenced a search to fill Mr. Fogarty's position.
