Explanation of Responses:

1. Represents shares of common stock issued upon vesting of 1/20th of the restricted stock units granted on December 31, 2007.

2. Represents shares of common stock withheld by First Solar, Inc. to satisfy certain tax withholding obligations associated with the vesting of the restricted stock units.

3. Each restricted stock unit represents the right to receive, following vesting, one share of First Solar, Inc. common stock.

4. The units are scheduled to vest in 20 equal quarterly installments commencing on March 31, 2008.

5. Upon termination of Mr. Gaffney's employment for cause, all units which have not vested at the date of termination shall be forfeited, except as otherwise determined by the compensation committee.
