Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 13, 2017, MoneyGram International, Inc. (the “Company”) announced that Steven Piano, Chief Human Resources and Communications Officer, will be leaving the Company effective March 31, 2017. The Company expects that all of Mr. Piano’s operating responsibilities will be assumed by existing members of the Company’s management team.

In connection with Mr. Piano’s departure, he will receive benefits to which he is entitled under existing Company benefit plans and agreements.
