Item 8.01. Other Events.

On December 29, 2008, New York Mortgage Trust, Inc. (the “Company”) issued a press release announcing that its Board of Directors declared on December 23, 2008 a cash dividend of $0.10 per share on shares of its common stock for the quarter ended December 31, 2008.  The dividend is payable on January 26, 2009 to common stockholders of record on January 7, 2009.  In addition, the Company’s Board of Directors declared a dividend of $0.50 per share on shares of its Series A Cumulative Convertible Redeemable Preferred Stock (the “Series A Preferred Stock”) for the 2008 fourth quarter in accordance with the terms of the Series A Preferred Stock.  The dividend is payable on January 30, 2009 to stockholders of record on December 31, 2008.  A copy of the press release is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

Fourth Quarter 2008 Common Stock Dividend of $0.10 Per Share

 
NEW YORK, NY – December 29, 2008 - New York Mortgage Trust, Inc. (the "Company") (NASDAQ: NYMT) announced today that its Board of Directors declared December 23, 2008 a cash dividend of $0.10 per share on shares of its common stock for the quarter ended December 31, 2008.  The dividend is payable on January 26, 2009, to common stockholders of record as of January 7, 2009.
 
In addition, the Board of Directors declared a dividend of $0.50 per share on shares of its Series A Preferred Stock for the 2008 fourth quarter in accordance with the terms of the Series A Preferred Stock.  The dividend will be payable on January 30, 2009 to stockholders of record on December 31, 2008.
