(b) Resignation of Director.

On May 18, 2010, Marc Chayette resigned from his position as a director on the Board of Directors of Cohen & Company Inc. (the “Company”), effective May 18, 2010. Mr. Chayette’s resignation was not due to any disagreement with the Company.
