Aspen Insurance Holdings Limited Announces
Commencement of Ordinary Shares and Perpetual PIERS Offering

Hamilton, BERMUDA, December 6, 2005 — Aspen Insurance Holdings Limited ("Aspen") (NYSE:AHL; BSX:AHL BH) announced today that it has commenced a public offering of its ordinary shares. Of the ordinary shares being offered, Aspen is offering approximately $200 million of ordinary shares and Wellington Underwriting plc (the "Selling Shareholder") is offering up to six million ordinary shares, representing 61% of the Selling Shareholder's currently outstanding ordinary shares (excluding exercisable options to purchase 3,781,120 ordinary shares). The underwriter has an option to purchase from Aspen up to approximately $52 million of additional ordinary shares to cover over-allotments, if any.

Lehman Brothers is acting as the sole book-running manager for the ordinary shares offering.

In addition, Aspen also announced that it has concurrently commenced a public offering of $200 million of Perpetual Preferred Income Equity Replacement Securities ("Perpetual PIERS"). The underwriter has an option to purchase from Aspen $30 million of additional Perpetual PIERS to cover over-allotments, if any. The Perpetual PIERS will be convertible, at the option of the holder, into non-convertible perpetual preference shares and, under certain circumstances, ordinary shares and convertible, at our option, into cash and, under certain circumstances, ordinary shares. Aspen intends to apply to have the Perpetual PIERS listed on the New York Stock Exchange.

Lehman Brothers is acting as the sole book-running manager for the Perpetual PIERS offering.

The completion of the ordinary shares offering is not conditioned on the completion of the Perpetual PIERS offering, and the completion of the Perpetual PIERS offering is not conditioned on the completion of the ordinary shares offering.

Aspen currently intends to use the net proceeds from the sale of its ordinary shares and Perpetual PIERS to make contributions to the capital and surplus of its operating subsidiaries and for general corporate purposes. Aspen will not receive any proceeds from the sale of ordinary shares by the Selling Shareholder.

The ordinary shares and Perpetual PIERS will be sold pursuant to an effective shelf registration statement previously filed with the Securities and Exchange Commission (the "SEC"). A prospectus supplement relating to the ordinary shares offering and a prospectus supplement relating to the Perpetual PIERS offering will be filed with the SEC.
