The Company was not able to complete its Annual Report on Form 10-K for the fiscal year ended December 31, 2007 (the “Form 10-K”), within the prescribed time period because it needed additional time to satisfy itself that all of the critical documents relevant to the review conducted by the Special Committee of the Company’s Board of Directors had been included in the review. That has now occurred, and the Company has now completed its procedures with respect to the Form 10-K, which is being filed simultaneously herewith.
