Re: Proxy Statement and Special Meeting of Cabela’s Stockholders to Approve Bass Pro Shops Transaction

We want to provide a brief update on our progress toward completing our merger with Bass Pro Shops.

This morning, we filed our definitive proxy statement with the U.S. Securities and Exchange Commission and announced that we will be holding a Special Meeting of Stockholders on July 11, 2017 to approve the merger.

In addition to disclosing the date of the meeting, the proxy also outlines other information and background related to the merger and the stockholder vote, including how to vote your shares, if you are a stockholder.

Stockholder approval is a major step in completing the transaction with Bass Pro Shops. As we previously said, the transaction is also subject to regulatory approvals and other customary closing conditions. We expect that the merger will close in the third quarter of 2017, subject to the receipt of stockholder approval, the receipt of required regulatory approvals and the satisfaction of other closing conditions.

The Cabela’s Board of Directors encourages all stockholders to vote in favor of the proposal to approve the merger.
