Item 8.01 Other Events.
 
On December 16, 2009, ChinaCast Education Corporation (the “Company”) closed the sale of an additional 889,500 shares of common stock at the public offering price of $6.85 per share, pursuant to the over-allotment option exercised in full by Roth Capital Partners, LLC (“Roth”) in connection with its public offering that closed on December 7, 2009. The exercise of the over-allotment option brings the total number of shares sold by the Company in this public offering to 6,819,500 and the total gross proceeds to $46.7 million. The aggregate net proceeds received by the Company totaled approximately $43.8 million, after deducting underwriting discounts and commissions and offering expenses payable by the Company. Roth acted as the lead underwriter for the offering.
