TPG Specialty Lending, Inc., together with the other participants named herein (collectively, “TSLX”), intends to file a preliminary proxy statement and an accompanying proxy card with the Securities and Exchange Commission to be used to solicit votes from the stockholders of TICC Capital Corp. (“TICC”) to: (a) elect TSLX’s director nominee at the 2016 annual meeting of TICC stockholders and (b) approve a proposal to terminate the Investment Advisory Agreement, dated as of July 1, 2011, by and between TICC and TICC Management, LLC, as contemplated by Section 15(a) of the Investment Company Act of 1940, as amended.

In response to a report issued by Institutional Shareholder Services Inc. (“ISS”) recommending that stockholders of Fifth Street Senior Floating Rate Corp. vote for the termination of the company’s investment advisory agreement with its external manager, Fifth Street Management LLC, at the upcoming annual meeting of stockholders, TSLX provided the following statement to several media outlets on April 1, 2016:

“TSLX welcomes the continued investor focus on BDCs who have consistently failed to deliver shareholder returns. ISS’ support for terminating the management agreement at Fifth Street Senior Floating Rate Corp. (NASDAQ: FSFR) is another indication of a step forward. We remain confident that investors will similarly support our effort to terminate the investment advisory agreement at TICC. We believe strongly in the long-term potential of BDCs and that the steps taken this year will improve the sector’s ability to capture this growth and deliver value to investors.”
