     On April 28, 2011, the Board of Directors of Telvent GIT, S.A. (the “Company”) approved Addendum No. 2, effective January 1, 2011, to the Services Provision Agreement, dated April 1, 2009, by and between the Company and Abengoa, S.A. The Addendum was previously approved by the Company’s Audit Committee and extends the term of the Services Provision Agreement through December 31, 2011. As consideration for the continuation of services set forth in Clause 1.1 of the Services Provision Agreement, the Company agreed to pay Abengoa, S.A. an aggregate of 8,000,000 Euros, payable in quarterly installments. An English translation of Addendum No. 2 is furnished as Exhibit 4 hereto.
