The Registrant is unable to file its Annual Report on Form 10-K for the period ended December 31, 2008 within the prescribed time period without unreasonable effort and expense due to the additional demands placed on the Registrant’s top executives and financial staff resulting from the Registrants filing of a voluntary petition under chapter 11 of title 11 of the United States Code in the United States Bankruptcy Court for the Southern District of New York on April 1, 2008. The Form 10-K is expected to be filed as soon as reasonably practicable.

The Company anticipates that income from operations for 2008 will decline by approximately 30% compared to 2007, and that net sales for 2008 will decline by approximately 17% compared to 2007. The decline in income from operations and net sales resulted primarily from a decrease in the sale of automotive components used by original equipment manufacturers.
