(b) Director Retirement

On January 29, 2009, Earl H. Norman, a member of the Board of Directors of MedAssets, Inc. (the "Company"), announced his retirement from the Board of Directors effective February 1, 2009. Mr. Norman’s decision to retire did not involve any disagreement with the Company, our management or the Board of Directors. Mr. Norman had served as one of our directors since the acquisition of Health Services Corporation of America by the Company in May 2001. The Company and the Board of Directors thank him for his dedicated service and are committed to continuing his legacy of serving healthcare and its providers.
