(the "Registrant") engaged Rotenberg, Meril, Solomon, Bertiger & Guttila ("RMSB&G") as its independent public accountants. During the two most recent fiscal years and through February 11, 2005, neither the Registrant nor anyone on its behalf has consulted with RMSB&G regarding either (i) the application of accounting principles to a specific completed or contemplated transaction; or the type of audit opinion that might be rendered on the Registrant's financial statements, and neither a written or oral advice was provided to the Registrant by RMSB&G that was an important factor considered by the Registrant in reaching a decision as to any accounting, auditing or financial reporting issue; or (ii) any matter that was the subject of a disagreement, or event identified in response to paragraph (a)(1)(iv) of Item 304 of Regulation S-B.
