Item 8.01. Other Events.

On July 23, 2008, we entered into a settlement agreement and mutual release with our former auditing and accounting firm (the “Settlement and Release”). Under the Settlement and Release, that firm without any admission of liability and without any adjudication of fact or law, agreed to pay us a lump sum settlement amount of one million dollars ($1,000,000) and the parties each agreed to a mutual general release of claims. In addition, the parties agreed to jointly dismiss with prejudice all claims, counterclaims and causes of action alleged in the lawsuit between the parties pending in the Circuit Court for the City of Richmond, Virginia.
