Introduction

 

As previously disclosed, SilverSun Technologies, Inc. (the “Company”) entered into an Amended and Restated Investment Agreement (as amended from time to time, the “Investment Agreement”), dated April 14, 2024, with Jacobs Private Equity II, LLC, a Delaware limited liability company (“JPE”) (on behalf of itself and on behalf of the other investors party thereto (each, an “Other Investor,” and collectively, the “Other Investors,” and together with “JPE,” the “Investors”)), providing for, among other things, an aggregate investment by the Investors of $1,000,000,000 in cash in the Company (the “Equity Investment”).

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

At the special meeting of the stockholders of the Company on May 30, 2024, the stockholders approved the QXO, Inc. 2024 Omnibus Incentive Plan (the “Plan”), subject to, and effective upon the occurrence of, the closing of the Equity Investment. The Plan is described in detail in the Definitive Proxy Statement (the “Definitive Proxy Statement”) of the Company filed with the U.S. Securities and Exchange Commission (the “SEC”) on April 30, 2024, which description is incorporated herein by reference. The description of the Plan is qualified in its entirety by reference to the Plan, a copy of which is attached hereto as Exhibit 10.1 and is incorporated by reference herein.
