(1) The referenced Phantom Stock was acquired pursuant to the deferred compensation provisions of the Non-Employee Directors Stock Plan (the "Stock Plan") and will be settled in shares of Common Stock under the terms of the Stock Plan upon the reporting person's termination of service as a director. The reporting person elected to acquire the Phantom Stock in lieu of cash and Common Stock otherwise payable by the Corporation pursuant to the Stock Plan.
