Explanation of Responses:

(1) The reporting person is a participant in the Corporation's stock option plans (the "Plans"). These options vest in four equal annual installments beginning one year from the date of the grant. In addition, the referenced stock options include a limited stock appreciation right entitling the reporting person to a cash payment equal to the spread between the market value of Black & Decker Common Stock and the exercise price of each of the outstanding options in cancellation of those stock options in the event of a Change in Control (as defined in the applicable Plan).
