Item 1.01 Entry into a Material Definitive Agreement.

Amendment to Credit Agreement

On March 27, 2024, Liquidity Services, Inc. (the “Company”) and Wells Fargo Bank, National Association (the “Lender”) entered into the Second Amendment to Credit Agreement, which amends that certain Credit Agreement by and between the Company and the Lender, dated February 10, 2022 (the “Credit Agreement”) by extending the term of the Credit Agreement from March 31, 2025 to March 31, 2026. All other terms and conditions of the Credit Agreement remain in full force and effect without waiver or modification.
