Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 29, 2011, Gary Gerson informed the management of Gladstone Commercial Corporation (the "Company") that he is resigning as Treasurer of the Company. Mr. Gerson’s resignation will become effective on January 20, 2012. Mr. Gerson’s duties will be handled by the Company’s Chief Financial Officer, Danielle Jones, until a suitable candidate can be found to replace him.
