PART III - NARRATIVE

State below in reasonable detail why Form 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Compass Minerals International, Inc. (the “Company”) has determined that it is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2021 (the “Q2 2021 Form 10-Q”) by the prescribed due date without unreasonable effort or expense. As previously disclosed, the Company has corrected its interim inventory valuation methodology and is restating other immaterial prior-period items. The Company is completing the documentation required for its quarterly and six-month financial statements and other disclosures required for the filing of the Q2 2021 Form 10-Q, and Ernst & Young, the Company’s independent registered public accounting firm responsible for auditing its financial statements, is completing its review of this documentation. While there can be no assurances, the Company is working to file its Q2 2021 Form 10-Q on or before the fifth calendar day extension provided by Rule 12b-25.
