Item 8.01Other Events.

 

On August 12, 2021, Equity Bancshares, Inc. (the “Company”) announced that it has received all required regulatory approvals to complete its previously announced merger with American State Bancshares, Inc. (“ASB”) pursuant to that certain Agreement and Plan of Reorganization, dated May 14, 2021, by and among the Company, Greyhound Merger Sub, Inc., and ASB. The transaction is expected to close in the fourth quarter of 2021, subject to the satisfaction or waiver of customary closing conditions, including the approval of the shareholders of ASB.
