Item 5.02.Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 16, 2023, CNO Financial Group, Inc. (“CNO” or the “Company”), announced that Michellen Wildin, age 59, has been named Senior Vice President, Accounting, effective October 23, 2023, and will succeed to the role of Chief Accounting Officer of the Company on January 1, 2024 following the previously announced retirement of John Kline effective December 31, 2023.

Ms. Wildin brings 30 years of experience in financial services to CNO. Most recently, she served as senior vice president, financial planning and analysis at F&G Annuities and Life, Inc., from 2021 to 2023. From 2013 to 2021, she held executive leadership positions at New York Life, including serving as vice president, corporate budget and expense analytics and chief financial officer of NYL Direct. Previously, she held senior-level accounting, finance, strategy and operations roles at Aviva and ING.
