Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics.

Effective January 1, 2010, the Board of Directors of Conseco, Inc. (the "Company") revised and updated the Company's Code of Business Conduct and Ethics by including new policies and expanding existing policies of the Company.  A copy of the revised Code of Business Conduct and Ethics is available free of charge on our website at www.conseco.com.
