Item 7.01.  Regulation FD Disclosure.

     On September 19, 2006, the Company issued a press release to announce that
it has engaged Bank of America Securities LLC and J.P. Morgan Securities Inc. to
act as lead arrangers and joint bookrunners in connection with the amendment of
its existing senior secured credit agreement. A copy of the Company's press
release is filed as Exhibit 99.1 to this Current Report on Form 8-K. Also
attached as Exhibit 99.2 is the proposed term sheet for the amended credit
facility.
